An integral part of Hyatt & Stubblefield, P.C.'s practice is assisting developers in adopting plans for the disposition of recreation amenities, with a particular emphasis on creating membership structures for clubs operated on either a nonprofit or for-profit basis.
Club Structures
Our experience in creating club structures includes member-owned "equity" clubs, right-to-use clubs, and "convertible" clubs structured as for-profit clubs initially, with the option to convert to equity at a later date. We work with:
- Golf and country clubs
- Marina and yacht clubs
- Swim and tennis clubs
- Non-traditional clubs
some of which stand alone and many of which are located in primary, second home, or resort communities.
Customization
Our involvement with both new construction and disposition of existing club facilities makes us acutely aware that markets vary from region to region and that each developer has unique needs and goals. We have extensive experience with a variety of club structures, and we strive to provide our clients with options tailored to meet their specific requirements.
Documentation
Representing both developers and owners' groups in planning and negotiating the disposition of recreational amenities gives us unique insight into the myriad of issues which concern owners and existing club members in any amenity disposition plan. As a result, we approach every project from a preventive law perspective, providing advice and legal documentation designed to minimize the risk of litigation while maximizing the client's developmental flexibility and control.
Our dual role in drafting both association and club documentation ensures that both sets of documentation are consistent and that the rights of both the community association and the club are protected. We are keenly aware of the interrelationships between major amenities such as golf clubs and the surrounding development and the role that each plays in supporting the other, and we work diligently to protect and enhance those relationships.
